The Site is operated by Fidelis AI Consultants & Technology Solutions ("Fidelis," "we," "us," or "our") on behalf of Sovereign Tax Advisory ([LEGAL ENTITY NAME]) for the purpose of scheduling complimentary consultations with Sovereign Tax Advisory ([LEGAL ENTITY NAME]).

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

1. What this Site is for

The Site exists to help business owners and high-income professionals request a complimentary hour-long consultation with Sovereign Tax Advisory, a Houston-based tax advisory firm. The Site itself does not provide tax, legal, financial, or investment advice.

Nothing on the Site, and no communication received through the Site (including any SMS, email, or phone response), constitutes tax, legal, financial, or investment advice, or the establishment of a professional client relationship. A professional relationship with Sovereign Tax Advisory can be established only through a separate written engagement.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Site. By submitting the consultation request form, you represent that you meet these requirements.

3. Your responsibilities

When you use the Site, you agree to:

• Provide accurate, current, and complete information when submitting the form
• Use the Site only for its intended purpose of requesting a legitimate business consultation
• Not attempt to access the Site through automated means, submit false or misleading information, or interfere with the Site's operation
• Comply with all applicable laws when using the Site

4. SMS/MMS Mobile Messaging Program

Program description

This SMS/MMS Mobile Messaging Program (the "Program") is operated by Fidelis AI Consultants & Technology Solutions on behalf of Sovereign Tax Advisory ([LEGAL ENTITY NAME]). The Program sends non-marketing, transactional messages related to your complimentary consultation request, including booking confirmations, appointment reminders, scheduling coordination, and responses to your questions.

Age restriction

You must be at least 18 years of age to opt in to and participate in the Program. By providing your phone number and consenting to receive messages, you represent and warrant that you are 18 years of age or older.

Message frequency

Message frequency varies based on your consultation booking activity. On average, expect between 2 and 8 messages related to any single consultation request.

Message and data rates

Message and data rates may apply as determined by your mobile carrier. We do not charge you directly for SMS or MMS messages, but standard rates from your wireless provider apply.

How to opt out (STOP)

You can opt out of the Program at any time by replying STOP to any message you receive from us. Once you reply STOP, you will receive one final confirmation message and no further SMS or MMS messages from the Program.

How to get help (HELP)

For assistance at any time, reply HELP to any message you receive from us and we will provide help.

Carrier disclaimer

Message delivery is subject to the effective transmission from your wireless service provider or network operator and is outside of our control. Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, U.S. Cellular, MetroPCS, and other major U.S. carriers.

5. Voice Call Communications Program

Nature of calls

Some or all of the phone calls you receive from us may be placed using an automated dialing system and may use an artificial or prerecorded voice, including AI-powered voice technology. These calls are non-marketing in nature and relate solely to your consultation request.

Call recording

Phone calls to and from our automated voice system and our team may be recorded for quality assurance, training, and record-keeping purposes. By continuing on a call after being notified, you consent to the recording of that call.

Call frequency

Call frequency varies based on your consultation booking activity. Typically, you can expect one qualification call within a few minutes of submitting your request, followed by reminder or coordination calls as needed before your scheduled consultation.

Consent is not a condition

Consent to receive automated calls is not a condition of receiving services or scheduling a consultation. If you prefer not to receive automated calls, you can request scheduling through email by contacting us at the address listed in Section 18.

How to opt out of calls

You can opt out of phone calls at any time by informing the caller during the call, replying STOP to any SMS message from us, or contacting us directly using the contact information at the end of these Terms. Once you opt out, we will remove your number from our calling list within a reasonable time period.

6. Email communications

You may also receive email communications from us related to your consultation. You may opt out of email communications at any time by using the unsubscribe link in any email or by contacting us directly.

7. The complimentary hour

The complimentary consultation offered through the Site is a one-hour meeting with a partner at Sovereign Tax Advisory, provided at no cost to you. The complimentary hour:

• Is informational in nature and does not create a professional relationship
• Is subject to availability and confirmation by Sovereign Tax Advisory
• May be declined if we determine the situation is not one Sovereign Tax Advisory can help with
• Includes no promise or guarantee of any specific outcome, tax savings, or advice

8. Intellectual property

All content on the Site, including text, graphics, logos, images, and design, is the property of Fidelis, Sovereign Tax Advisory, or their licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written permission.

9. Disclaimers

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Any reliance you place on information provided through the Site is at your own risk.

10. Limitation of liability

To the fullest extent permitted by law, Fidelis, Sovereign Tax Advisory, and our respective directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability arising from or related to these Terms or your use of the Site is limited to $100 or the amount you paid us in the past 12 months, whichever is greater.

You agree to indemnify and hold harmless Fidelis, Sovereign Tax Advisory, and our respective directors, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site or violation of these Terms.

The Site may include links to third-party websites or services, including the main Sovereign Tax Advisory website. We do not endorse and are not responsible for the content, privacy practices, or actions of any third-party sites or services.

13. Modifications to these Terms

We may update these Terms from time to time. When we do, we will update the "Effective" date at the top of these Terms. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms. Material changes will be communicated through the Site or by direct notice where required by law.

14. Termination

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Any dispute arising from or related to these Terms or the Site will be resolved in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements.
